These Terms and Conditions (“Terms”) govern your use of the services offered by PNA Software, a software and web development company based in Chisinau, Moldova (“PNA”, “we”, “us”, or “our”).
1. Acceptance of Terms
By accessing or using any of our services, including but not limited to our website, software applications, and development services (collectively, the “Services”), you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Services.
2. Services
PNA offers a variety of services, including:
- Custom software development
- Web development
- Design services
- Consulting services
The specific nature of the Services will be further defined in a separate agreement between you and PNA (“Project Agreement”).
3. Intellectual Property
All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, in the Services (including any documentation) are owned by PNA or its licensors. You are granted a non-exclusive, non-transferable license to use the Services in accordance with these Terms and the Project Agreement.
4. Your Responsibilities
- You are responsible for providing PNA with all necessary information and materials to perform the Services.
- You are responsible for obtaining all necessary permissions and licenses related to the Services.
- You will not use the Services for any illegal or unauthorized purpose.
- You will not reverse engineer, decompile, or disassemble the Services.
5. Payment
Payment terms will be specified in the Project Agreement. You agree to pay PNA for the Services in accordance with the agreed-upon terms.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PNA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PNA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Limitation of Liability
IN NO EVENT SHALL PNA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICES, EVEN IF PNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Term and Termination
These Terms will remain in effect until terminated by you or PNA. We may terminate these Terms at any time for any reason, with or without notice. You may terminate these Terms by ceasing to use the Services.
9. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party.
10. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or natural disasters.
11. Entire Agreement
These Terms constitute the entire agreement between you and PNA regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
12. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of Moldova. Any dispute arising out of or relating to these Terms will be settled by binding arbitration in Chisinau, Moldova, in accordance with the rules of a reputable arbitration organization.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
14. Waiver
No waiver of any provision of these Terms by PNA shall be deemed a further or continuing waiver of such provision or any other provision.
